Members Voluntary Liquidation

A Members' Voluntary Liquidation (MVL) is a procedure used to distribute the assets of a company to its creditors and members under the supervision of a liquidator. This process is applicable not only to companies but also to solvent associations and cooperatives, as the steps outlined in the Act are typically incorporated by the various State Acts governing these entities. An MVL is specifically designed for use when a company is solvent, meaning it can settle all its debts—including debts to related entities like shareholders’ loans—within 12 months of starting the liquidation process.

Small Business

The Small Business Restructuring Process, introduced by the Federal Government in 2021, is one of two new formal insolvency procedures. In this process, directors and management retain control over the company, albeit under the supervision of a restructuring practitioner.

This process aims to give directors and the company an opportunity to develop a proposal for creditors, detailing how they will settle their liabilities, either fully or partially, within a timeframe not exceeding three years.

Court Liquidation

A court liquidation, formerly known as an Official Liquidation, is initiated when a creditor or creditors file a petition with the court to wind up a company because of unpaid debts. This method is typically used after all other attempts to recover outstanding debts have been exhausted.

In a court liquidation, a liquidator is appointed to liquidate the company's assets, investigate the reasons for the company's failure, and distribute the proceeds to creditors in order of priority. Following this, the liquidator will request that ASIC deregister the company, effectively dissolving it. Simplified Liquidation

Introduced by the Federal Government in response to the COVID-19 pandemic, Simplified Liquidation (also known as simple liquidation) is one of two new formal insolvency procedures (the other is the Small Business Restructure). This process is designed to streamline the liquidation process, making it less costly and time-consuming.

Voidables

When a business to which you've provided goods or services enters any form of external administration, it can create challenging situations for everyone involved. You might not have received full payment, employees could have lost their jobs, and there may not be enough funds left to properly investigate the business's affairs.

Should the business enter liquidation or bankruptcy and you had been partially paid for your goods or services, there's a chance you could receive a demand from the Liquidator or Registered Trustee in Bankruptcy to return those payments as part of a voidable transaction.
